INTRODUCTION
CKD Culinary Consulting, LLC is a company that offers cooking, food, nutrition, and diet-related suggestions, advice, printed materials, social media, and services with a focus on kidney disease. Linda Blaylock is the founder and creator of CKD Culinary Consulting, LLC and The How to Eat for CKD Method program. Everything related to CKD Culinary Consulting, LLC is fully insured, and all the information and names are protected by trademarks and copyrights.
INTERPRETATION AND DEFINITIONS Whether they appear singular or plural, the following definitions shall have the same meaning. Definitions For the purposes of these Terms and Conditions:
● “Account” means a unique account created for or by you to access our services or parts of our services.
● “Company” (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to CKD Culinary Consulting, LLC, and is inclusive of all other names or affiliates used. (See other names, programs, or abbreviations).
● “Country” refers to United States of America.
● “Content” refers to any content on any of the websites, mobile or tablet applications, any form of television, PDA, RSS feeds, streaming, or any other features or other platforms or other information that can be posted, uploaded, linked to, Printed or published, or otherwise made available by you, regardless of the form of the content.
● “Device” means any device that can access our services such as a computer, a cellphone, or a digital tablet or any new and upcoming devices with the ability to access.
● “Feedback” means feedback, innovations, comments, or suggestions sent by you regarding the attributes, performance, value, or features of our service.
● “Products” and “Programs” are used interchangeably and refer to any content offered, in any form, for sale or for informational purposes, on any of our websites or printed materials.
● “Orders” mean a request by you to purchase any of our programs, services, or products from us. ● “Promotions” refer to contests, discounts, scholarships, or other promotions offered through our services.
● “Service” refers to anything and everything related to or within the business.

"Basics Essentials" course, or “Basics", "PROven Innovative Techniques" or “PRO”, “Pro” course, workshop, or section or “PROven” course, workshop, or section, "The Complete CKD Diet Guide", "The CKD Guide", "Step Up", "Step Up CKD", "CKD Step Up", "CKDelicous!", "CKD-ify (-ified, -ifying)", "Real CKD Eating".

Please read these terms and conditions carefully before accessing, using, or obtaining any programs, printed materials or links to, any information, images, products, videos, live chats, streaming, posts, photographs, audio, boards, webinars, or any other services made available. By accessing any of the websites, mobile or tablet applications, any form of television, PDA, RSS feeds, or any other features or other platforms (collectively "Our Website, Sites, or Site") owned by CKD Culinary Consulting, you agree to be bound by these terms and conditions ("Terms” or “T&C") and our Privacy Policy.

USER ACCOUNTS:

You are responsible for keeping your password secure. If you think someone else might have access to your account, please let us know right away. You can't share your password with anyone else, or your account will be terminated, and you will lose any payments you've made. Please choose a username that is appropriate and not offensive.
CONTENT:
Content Backups We frequently backup your data, but we can't promise that there won't be any loss or damage to it. Sometimes, the backups may not work properly due to the data being corrupted before being backed up or changing during the process. If you encounter any issues with your backups, please let us know and we will try to help you. However, we cannot be held responsible for the integrity of your data or its failure to be restored to a usable state. It's a good idea to keep a complete and accurate copy of your data in a location separate from our service.
COPYRIGHT POLICY:

PLACING ORDERS FOR PROGRAMS, SERVICES, MEMBERSHIPS, OR PRODUCTS:
By placing an Order through our Service, you warrant that you are legally capable of entering into binding contracts. Your Information If you want to buy any of our programs, services, or products, we may ask you to give us some information to process your order. This information may include your name, email, phone number, credit card number, credit card expiration date, billing address, and shipping information.
By providing this information, you agree to let us share it with third-party payment processors to complete your order. You promise that you have the right to use any credit or debit card or other payment method you use to place your order. You also promise that the information you give us is true, correct, and complete. Order Cancellation: We reserve the right to refuse or cancel Your Order at any time for certain reasons including but not limited to: ● Errors in Your Order ● Failed payment attempt ● Non-compliance of Terms, policies, rules, and poor conduct. We reserve the right to refuse or cancel Your Order if fraud or an unauthorized or illegal transaction is suspected.
AVAILABILITY, ERRORS, AND INACCURACIES:
Sometimes, the information about our programs, services, and/or products on our website may be inaccurate, incomplete, or not up-to-date. We may also experience delays in updating this information on our website and other advertising sites. Therefore, we cannot guarantee the accuracy or completeness of any information regarding prices, program images, specifications, availability, and services. We reserve the right to correct errors, inaccuracies, or omissions at any time without prior notice.
PRICES POLICY:
The Company reserves the right to revise its prices at any time. Promotions & Discounts Any Promotions or discounts made available through the Service are governed by these same Terms.
PAYMENTS AND REFUNDS:
Payment is a contract between the buyer and CKD Culinary Consulting, LLC / How to Eat for CKD for access to online courses, books, members-only groups, classes, calls, or meetings.
- Payment plans are available and will be enforced.
- The payment plan starts on the date of purchase.
- If you choose a payment plan, you will be charged an initial payment upon enrolling, followed by installments every 30 days for the remaining two to five months, depending on the pay plan offered and you choose.
-You may not elect to stop your enrollment on the pay plan.
Payments Missed, Declined, Or Stopped:
If you miss, decline, or stop payments, here's what you need to know:
- You will receive a payment reminder. Payment is due within 15 days.
- After 15 days, you will receive another reminder. Payment is due within 5 days or your access to the program and/or group will be denied.
- To bring your account back into good standing, you will need to make payment to the account within 15 days.
- If you don't pay within 15 days, your account will be terminated.
- You are still required to pay the outstanding balance on your account.
- You will have 30 days to pay the full remaining balance before legal action is taken.
Payments unpaid: legal action
- Any payments outstanding will result in legal action. See Disputes section for terms.
Refunds:
Refunds are not available for any services, due to the integrity of the program and to provide accountability to you.
- There are no refunds for failure to log in, join, start, finish, or any other given reason. If you decide to leave for any reason and at any time, you will not receive any refund. This applies to all services.
-Enrolling in the online program and purchasing the book are separate transactions. The course fees remain the same, and the book is an additional purchase for those who choose to include it. No refunds or reductions in fees are given.
- There are no refunds if you are removed for violation of rules or if you have caused an action for removal as stated in these or the payment terms. This applies to all services.
- The client is responsible for ensuring their account remains in good standing for the duration of the service or pay plan, and with all payments required.
- If you are unsure if this program is the right fit or the right time for you, do not enroll.
- If you are facing financial hardship and need to pause your enrollment, please contact us.
- Determination made on a case-by-case basis. Most often, this will NOT be allowed. Please find alternative means to complete your payments.
ACCESS ONLINE PROGRAM:
Online program access begins on the day you create your account.
- Your account will be terminated if you cause an action for suspension or removal as stated in payment terms.
- Access to the course will continue unless you violate rules or cause an action for removal as stated in payment terms.
- You will have ongoing access to Assistance calls unless you've been restricted or removed due to abuse or excessive use, or your account is not in good standing. Verification may be required for each call.
- Breaking confidentiality or sharing materials or information in any means, including verbal, will result in legal action. Please see the Confidentiality section for more details.
- If you do not agree with this document, do not enroll.
ACCESS MEMBERS ONLY GROUP:
Members Only group access begins once you’ve answered the verification questions and have been approved, then made payment.
- Access to the members only group will be available for 1 year from date of purchase, or until you are removed, leave, or fail to renew, or have caused an action for removal as stated in these or the payment terms.
- If you purchase the book, you may enroll in the members only group at the current rate.
- For the online program, you have an automatic one-year membership with enrollment of the program. You will have the option to renew the members’ access at the current price.
- Renewal dates will be based on the first payment, not the date you enter the group.
- Membership renewal fees are due 365 days after the first payment. No refunds, payment terms apply.
- Confidentiality broken or materials have been shared, or information shared in any means, including verbal will result in legal action. No refunds. See Confidentiality section.
- You will have ongoing access to Assistance calls unless you’ve been restricted or removed due to abuse or excessive use, or your account is not in good standing. Verification may be required for each call.
- If you do not agree with this document, you must contact us to cancel your enrollment.
ASSISTANCE CALLS:
Calls are available for a fee. You may purchase an Assistance Call, which is a 30-minute meeting done via zoom or phone. If you purchased the book, verification may be required before scheduling any call.
-Are available to those whose online accounts are in good standing and are ongoing unless you are removed for violation of rules, or you have caused an action for removal as stated in these or the payment terms.
-Enrollment in the program or purchase of the Book are eligible for calls. Verification required.
-Availability is very limited. Please use it only if you absolutely need 1:1 support or assistance.
-Abuse of or excessive use of the calls will result in restrictions or denials. Excessive reschedules, no shows, or cancels will result in restrictions or denials. The actions adopted will be set and determined on a case-by-case basis.
-There are no refunds for any reason. No excuses will be accepted.
OTHER NOTICES:
Payments can be made through online payment methods (PayPal or Stripe, for example). Books may be purchased through Amazon and Barnes & Noble. Payment cards (credit cards or debit cards) are subject to validation checks and authorization by Your card issuer. If we do not receive the required authorization, we will not be liable for any delay or non-access to our programs.
The program “is not what I thought it would be”, or any other reason as well as non-completion of the program or feeling you don’t have the time to complete it, is not grounds for a refund.
No liability for misprints, inaccuracies, or mistyping.
By accessing any website, content in any course, any social media, email, video, verbal, or printed materials indicates your acceptance and agreement with the terms and conditions set within this document, regardless of if you have signed, and you agree to be legally bound by them.
If you do not agree with any contents within these Terms, notify us to cancel your enrollment immediately. The terms in the payment section above apply.
REPRESENTATIONS AND WARRANTIES:
Both parties confirm that they have the authority to enter into the agreement and that fulfilling their obligations under the agreement will not violate the rights of any third party or any other agreement, law, or regulation.
APPLICABLE LAW:
This agreement will be governed and construed in accordance with the laws of the State of Minnesota, USA.
SEVERABILITY:
If any part of these Terms is not valid or enforceable, it will be changed to the extent allowed by law, and the rest of the Terms will still apply.
WAIVER:
If we don't enforce a particular rule or obligation outlined in this agreement, it doesn't mean we're giving up our right to do so in the future. And if there's a breach of this agreement, it doesn't mean we're waiving any subsequent breaches.
ENTIRE AGREEMENT:
Our Terms and legal notices are the complete agreement between you and CKD Culinary Consulting, LLC regarding the use of our websites or print materials. By using them, you agree to this Disclaimer. If you have any questions, please contact us.

Any Infringement found means you will agree to an automatic $1 million USD, immediate settlement to CKD Culinary Consulting, LLC, for compensatory damages and you will immediately cease and desist and declare a public admission and apology for your actions in every location, online, or offline in which you infringed, in addition to full payment of court, and both
attorney’s fees, travel, and accommodation fees for all parties in the event of any arbitration and/or court attendances/cases, including any ongoing or future arbitration or court cases regardless of location.
Second offenses will result in an automatic $2 million USD settlement for compensatory damages to CKD Culinary Consulting, LLC, in addition to any settlement awarded to us by the courts, furthermore, you agree to be responsible for all court and both attorney’s fees, travel, and accommodation fees for all parties in the event of any arbitration and/or court attendances/cases, including any ongoing or future arbitration or court cases regardless of location.
Violation of confidentiality results in an automatic $100,000 damages payment.
Violation of confidentiality by a professional result in an automatic $500,000 damages payment.
CONFIDENTIALITY:
The client understands that given the group nature of the program, including any social media, printed materials, verbal, videos, emails, etc. that discussions or any related program discussions are to be held in strict confidence and cannot be shared, referred to or mentioned outside of the designation program and/or any social medias. Any and all content and materials within our programs, services, or products are for private use only and will not be shared with others.
Those who enroll, purchase books or memberships, or who are professionals and have taken the course(s), purchased books, or memberships, who have investigated or read for their own learning, curiosity, or understanding, or are helping others work through it, do not have permission to use any portion, method, idea, suggestion, etc. of this program. They are bound to these terms.
Those found using any portion, method, idea, suggestion, etc. or similar will be considered in violation of copyrights and legal action taken. Any purchase of the course(s) or books, or group membership also constitutes acceptance.
Helping someone work through the course constitutes acceptance by association. Those in the members only group are not allowed to share program content or information within the free non-client group. Failure to keep the content and information confidential will result in removal from the free non-client group.
Violation of confidentiality results in an automatic $100,000 damages payment. Violation of confidentiality by a professional result in an automatic $500,000 damages payment.
TERMINATION:
We may terminate or suspend Your Account immediately or suspend or terminate, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms and Conditions. Upon termination, your right to use the Service will cease immediately, you be removed from the community and client group(s) and/or program. See the Payment & Refunds section above for further information. If You wish to terminate Your Account, you may simply discontinue using the Service, remove yourself from the Facebook group(s), and notify us. See the Payments & Refunds section above for further information.
INDEMNIFICATION AND RELEASE OF CLAIMS:
You hereby fully and completely hold harmless, indemnify, and release CKD Culinary Consulting, LLC. and any of its agents, consultants, affiliates, team members, joint venture partners, employees, shareholders, directors, staff, team members, or anyone otherwise affiliated with the business from any and all causes of action, allegations, suits, claims, damages, or demands whatsoever, in law or equity, that may arise in the past, present or future that is in any way related to our Websites, printed materials, or services.
ERRORS AND OMISSIONS:
CKD Culinary Consulting, LLC. is a company that strives to provide accurate information to its clients. However, it is possible that the information shared may contain inadvertent inaccuracies or typographical errors. Recipes: While all recipes supplied and nutritional information given are obtained using reputable sources and calculated using the NB20 program linked to the USDA, the accuracy of the information cannot be guaranteed. The recipes are not lab tested, and therefore, any mistypes, inaccuracies, or omissions can be brought to the attention of the company to remedy. Nutritional data may not always be available, and amounts are estimated based on the next best food or product or on the base ingredients used. CKD Culinary Consulting, LLC. makes every attempt to capture accurate information and will often contact the company requesting that information. However, as new food testing comes forward, this can alter the information previously supplied, so the company will update the information to the best of its ability.
In summary, while CKD Culinary Consulting, LLC. is committed to providing accurate information, it cannot guarantee its accuracy and is not responsible for any errors or omissions that may occur.
LIMITATION OF LIABILITY:
